Sushi — Terms
1. Acceptance of Terms
By accessing, browsing, or using the Sushi interface at sushi.com or any related smart contract infrastructure, you agree to be bound by these Terms of Service in their entirety. These terms constitute a legally binding agreement between you and the operators of this decentralized exchange interface. If you do not agree with any provision of these terms, you must immediately discontinue your use of the service and disconnect any wallet integrations. The platform reserves the right to modify these terms at any time, and your continued use of the service following any such modification constitutes your acceptance of the revised terms. It is your responsibility to review these terms periodically. Access to the interface is conditioned upon your acceptance of and compliance with these terms without modification, exception, or reservation.
2. Eligibility to Use Sushi
Access to and use of the Sushi platform is permitted only to individuals who are legally capable of entering into binding contracts under the laws of their applicable jurisdiction. You must be at least eighteen years of age to use this service. By using the exchange, you represent and warrant that you meet these eligibility requirements and that your use of the platform does not violate any law or regulation applicable to you. Residents of certain jurisdictions may be restricted from accessing specific features or the service in its entirety due to regulatory requirements. It is your sole responsibility to determine whether your use of this decentralized exchange is lawful in your jurisdiction. Individuals who are on any applicable sanctions list or who are acting on behalf of a sanctioned entity are strictly prohibited from using the service.
3. Account and Wallet Terms
The Sushi protocol does not require the creation of a traditional user account. Instead, access is granted through the connection of a self-custodied cryptocurrency wallet such as MetaMask, WalletConnect-compatible wallets, or other supported providers. You are solely responsible for the security of your wallet, including the safekeeping of your private keys and seed phrases. The platform has no ability to recover lost private keys or restore access to wallets, and no team member will ever request your seed phrase under any circumstances. Any transaction initiated from a connected wallet is considered authorized by the wallet's owner. You agree to immediately disconnect your wallet and notify the community if you suspect unauthorized access to your wallet or any security breach affecting your assets.
4. Permitted Use of the Service
The Sushi interface is provided for the purpose of facilitating decentralized token swaps, liquidity provision, yield farming, and other DeFi activities as made available by the protocol from time to time. You agree to use the service only for lawful purposes and in accordance with these terms. The platform grants you a limited, non-exclusive, non-transferable, revocable license to access and use the interface for personal, non-commercial purposes. Commercial use of the interface — including the operation of bots, scrapers, or automated systems that place undue load on the service — is prohibited without prior written authorization. You acknowledge that decentralized finance activities involve significant financial risk, including the potential for total loss of invested capital, and you agree to conduct your own independent research before executing any transaction.
5. Intellectual Property Rights
The Sushi brand, logo, interface design, written content, and proprietary code elements displayed at sushi.com are protected by intellectual property laws and remain the exclusive property of their respective owners. Nothing in these terms grants you any right or license to use the brand's trademarks, service marks, logos, or trade names without express written permission. The underlying smart contract code of the protocol is open-source and released under applicable open-source licenses, which govern your rights to use, modify, and distribute that code independently of the interface. User-generated content submitted through community channels may be used by the team for promotional and development purposes, subject to the terms applicable to those channels. Unauthorized reproduction, distribution, or modification of the interface's proprietary elements is strictly prohibited and may result in legal action.
6. Prohibited Conduct on Sushi
Users of the Sushi platform are prohibited from engaging in any conduct that violates these terms, applicable law, or the rights of other users. Specifically, you may not use the service to launder money, finance terrorism, or engage in any other activity that violates anti-money laundering or counter-terrorist financing regulations. Market manipulation, including wash trading, spoofing, or coordinated pump-and-dump schemes, is strictly forbidden. Attempting to exploit, hack, or interfere with the smart contracts or the web interface in ways not authorized by the bug bounty program is prohibited. Impersonating the team, governance participants, or other community members to mislead users is not permitted. Any conduct that could damage the reputation, security, or operational integrity of the exchange will result in immediate restriction of access and may be reported to relevant authorities.
7. Disclaimers
The Sushi interface and all associated services are provided on an 'as is' and 'as available' basis without warranties of any kind, whether express or implied. The team makes no representations or warranties regarding the accuracy, completeness, reliability, or timeliness of any information displayed on the platform. Decentralized finance protocols are experimental technology, and the service disclaims all liability for smart contract bugs, exploits, or failures that may result in loss of user funds. Price data, liquidity estimates, and yield projections displayed on the interface are informational only and do not constitute financial advice. The exchange does not warrant that the service will be uninterrupted, error-free, or free from harmful components. You acknowledge that your use of the platform is entirely at your own risk.
8. Limitation of Liability
To the maximum extent permitted by applicable law, the operators of the Sushi interface shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the service. This includes, without limitation, loss of funds due to smart contract vulnerabilities, market volatility, impermanent loss in liquidity pools, failed transactions, or unauthorized access to your wallet. The aggregate liability of the interface operators for any claims arising under these terms shall not exceed the greater of one hundred US dollars or the amount of fees you paid to access the service in the thirty days preceding the claim. Some jurisdictions do not allow the exclusion or limitation of liability for consequential damages, so the above limitation may not apply to you in full. Nothing in this section limits liability for fraud, willful misconduct, or gross negligence.
9. Indemnification
You agree to indemnify, defend, and hold harmless the operators of the Sushi interface, along with their contributors, developers, governance participants, and service providers, from and against any claims, liabilities, damages, losses, costs, and expenses — including reasonable legal fees — arising out of or in any way connected with your access to or use of the service. This indemnification obligation applies to claims arising from your violation of these terms, your infringement of any third-party rights, your violation of applicable law, or any content or activity conducted through your connected wallet. The team reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate fully and not to settle any such matter without prior written consent. Your indemnification obligations survive the termination of your access to the exchange.
10. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these terms or your use of the Sushi platform shall first be submitted to good-faith informal negotiation between the parties for a period of thirty days before either party may initiate formal proceedings. If informal resolution is unsuccessful, disputes shall be submitted to binding arbitration administered by a recognized arbitration body in accordance with its applicable rules. Arbitration shall be conducted on an individual basis, and you waive any right to participate in a class action lawsuit or class-wide arbitration against the platform or its operators. The arbitral award shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction. Nothing in this section prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.
11. Termination of Access
The operators of the Sushi interface reserve the right to restrict, suspend, or terminate your access to the service at any time and without prior notice if you violate these terms, engage in prohibited conduct, or if continued access poses a risk to the security or integrity of the platform. Because the underlying protocol is decentralized and open-source, termination of interface access does not prevent you from interacting directly with the smart contracts through alternative means. Upon termination, all licenses granted to you under these terms shall immediately cease, and you must discontinue all use of the interface. The team is not obligated to provide a reason for termination decisions made in connection with suspected violations of these terms or applicable law. Provisions of these terms that by their nature should survive termination — including disclaimers, limitation of liability, and indemnification — shall remain in full force and effect.
12. Changes to These Terms
The Sushi interface operators reserve the right to modify these Terms of Service at any time to reflect changes in the platform's features, applicable legal requirements, or operational practices. Material changes will be communicated through a prominent notice on the official site and, where appropriate, through community governance channels, with reasonable advance notice provided before the changes take effect. The date of the most recent revision will be clearly indicated on the terms page. Your continued use of the service after the effective date of any revised terms constitutes your binding acceptance of those changes. If you do not agree to any modification, you must cease using the interface immediately. The team encourages all users to review these terms regularly to remain informed of their rights and obligations when using this decentralized exchange.
